Stephen is widely respected in the area of employee share plans and consistently ranked as a leading lawyer in this area. His special interests include:

  • acting for UK public and private companies and non-UK companies on the  design and implementation of new employee share plans for selected or all employees
  • advising on share plan issues arising in connection with takeovers and acquisitions, initial public offerings (IPOs), privatisations, management buy-outs and business sales
  • how employee trusts may be used to help operate employee share plans

Stephen sits on the Quoted Companies Alliance Share Schemes Committee and has been a member of the editorial panel of the PLC Share Schemes & Incentives service and the Share Plan Lawyers Training Committee.  A graduate in Modern History from Oxford University, Stephen was previously a partner in Addleshaw Goddard and prior to that he was a partner for many years in Allen and Overy.

Stephen is described as a Senior Statesman in his field in the 2016 Edition of Chambers Guide to the Legal Profession.

Pam is our Practice Manager. She has extensive experience of office management and general business management in manufacturing, financial services, travel and tourism, catering and hospitality and the charity sector.

Her areas of involvement and responsibility include the following:

  • Financial management
  • Practice development and client care
  • IT, office administration and premises management
  • General PA support to the team

It is all tackled with plenty of energy and enthusiasm.

Judith looks after a number of clients needing advice on employee share schemes and commercial law.

Judith’s particular expertise includes:

  • helping companies design and implement new share option plans and other share plans
  • guidance on plan communication to employees and companies
  • liaison with HM Revenue and Customs
  • share Plan Annual Returns
  • commercial contracts

A graduate in law from the University of Manchester, Judith qualified as a solicitor in 1990 and worked for a number of years in the area of general company and commercial law, particularly for clients in the entertainment industry. She has been focussing on employee share schemes since she joined Postlethwaite in 2007. She is a Ranked Lawyer in his field in the 2016 Edition of Chambers Guide to the Legal Profession.

Kirsty Lawson

Kirsty supports clients in the design and delivery of employee share schemes.  Kirsty’s particular expertise includes:

  • Client support and communication
  • Liaison with HM Revenue and Customs
  • Scheme procedures and documentation
  • Planning and delivery of employee communication
  • Scheme administration and reporting

A graduate from the University of Hull, Kirsty has over 20 years in the insurance, financial services and outsourcing sector.  She is a Prince2 Practitioner and Associate of Chartered Insurance Institute and is part-qualified with the professional body the Association of Tax Technicians.  Kirsty’s career has encompassed project management, business transition, process re-engineering and client management. She has been focussing on the delivery of employee share schemes since moving into the sector in 2015.

Jo supports the team with administrative input as well as being a social media whiz.  Jo is relatively new to the world of employee share ownership but enthusiastic about the difference employee ownership can make to businesses and keen to develop her knowledge further.  Her role is varied and covers duties ranging from general office administration to the preparation and submission of documents to HMRC and Companies House; preparation of document packs for clients; helping write blog content and promoting such content via social media; she markets our content and publicises interesting articles on employee share incentive related topics via social media.

Founder of our firm and a regular speaker on employee ownership, Robert is an employee share plan and employee ownership specialist with particular expertise in:

  • helping private  and smaller listed companies find the right employee share plan to match their needs, then looking after all aspects of legal implementation
  • arranging ownership succession through transfers of ownership to employee trusts including tax-advantaged employee ownership trusts (EOts)
  • putting in place all-employee share ownership plans
  • ownership models for the delivery of public services through employee-led mutual companies
  • communication – ensuring that both companies and participants understand how their share plan works
  • agreeing share valuations with HM Revenue and Customs

Robert is a member of the Employment Lawyers Association, the Share Plan Lawyers Group and the Share Plan Committee of the Quoted Companies Alliance.  A graduate in law from the University of Bristol, Robert was a partner in a national firm of corporate lawyers before founding Postlethwaite in 2003.He is described as a Leader in his field in the 2016 Edition of Chambers Guide to the Legal Profession.

David is an experienced share scheme lawyer.  His main areas of expertise are:

  • advising all types of company on management incentives, ranging from cash bonus plans to more bespoke tax-efficient schemes where more conventional solutions may not be appropriate
  • on takeovers and refinancing, helping management and vendor shareholders ensure that their tax liabilities are minimised
  • where employment is being terminated, helping employers and/or employees minimise their tax liabilities
  • advising non-UK companies on creating share incentives for their UK employees
  • advising UK companies on extending their share plans overseas
  • ensuring that any merger, acquisition or company reorganisation in which a company may become involved  is structured to be compatible with the terms of its employee share plans
  • listing rules and takeover code
  • advice on uses of employee trusts and their tax treatment

David is a member of the Share Plan Lawyers Group.  David has an LLB in law with German from King’s College, London. He was an employee benefits partner at an international law firm in the City for many years, before moving to Postlethwaite in February 2010. He is a Ranked Lawyer in his field in the 2016 Edition of Chambers Guide to the Legal Profession.

Emma is a Chartered Tax Advisor and a fellow of the Chartered Institute of Consulting with 20 years experience of advising businesses on the UK tax issues associated with share incentive plans, employee ownership, corporate transactions and fundraising.  Her particular interests include:

  • Working with start-ups and entrepreneurial businesses to create corporate structures that facilitate and encourage growth;
  • Fiscal share valuations, including negotiations with HMRC;
  • SEIS and EIS structuring and compliance;
  • Advising on management and employee buy outs and private equity deals involving management shares.

Emma qualified with Big 4 accountancy firm KPMG where she spent ten years before joining top 10 firm Mazars, leading the UK firm’s employee incentives practice for several years.  Most recently Emma has worked with the MPA Group, building the firm’s employee ownership practice from the ground up.

Emma is passionate about employee share ownership and building better businesses and frequently blogs and speaks on these topics.
